The Theory of Corporate Finance

I know it is a niche subject, but this is the best book written on the topic.

Difficult to learn it but it is a great book!

This book makes understanding the theoretical "logic" behind various corporate strategies very easy to understand. This book was used as a text for a Ph.D. level finance course. So, if reading comprehension is difficult for you, you may not choose this book, but if you tend to understand complex text and equations, this book is your key. I am even using it to guide my own financial decisions. By understanding some of the strategies that companies utilize and the common rationale, I am more confident about my own investment decisions.

コーポレートファイナンスに関する書籍の多くはMBAや実務家向けのものです。MBA上級や博士課程向けの書籍としては，本書かJao Amaro de Matosの本になると思います（その２冊だけ）。後者は，MM理論を含むコーポレートファイナンスの主要なトピックスをより数理的に解説した本なのに対して，Tiroleは情報の非対称性を前提とした契約理論を中心にした理論の解説本です。同じ「コーポレートファイナンス」の本ですが，切り口でこうも異なるのかというくらい違うように個人的には感じました。数学的にはMatosの方が込み入ってますが，Tiroleは分量も多く，契約理論のベースが必要なので同じ経済学の範疇でも必要な基礎はやや異なります。契約理論やインセンティブに関する書籍は日本語でも一部非常に分かり易く（しかも分量がそれ程ない），基礎作りに適しているものがありますので，本書を読んでいて理解に困った時は参考にすると良いと思います。私は英語がそれ程得意じゃないので，そういう読み方が一番効率的だと思います（他の洋書を参照するという手もありますが，余程時間的な余裕がないと，参照する本を読むだけで時間が取られます）。決して簡単な本ではないですが，実務家にとっても興味深い一冊と思います。
